Item 8.01 Other Events.

On July 26, 2022, Sutro Biopharma, Inc. (the “Company”) announced that Merck & Co., Inc., known as MSD outside the United States and Canada (“Merck”), will make to the Company a $10.0 million milestone payment following the dosing of the first patient in the Phase 1 study of an investigational candidate resulting from the collaboration between the Company and Merck.
