Explanation of Responses:

1. Acquired upon achievement of certain performance criteria pursuant to the performance-based restricted stock granted October 15, 2018 under the Issuer's 2017 Stock Incentive Plan. The performance period for the restricted stock was September 30, 2018 until March 31, 2025, with achievement of the applicable performance criteria subject to determination by the Issuer's Compensation and Stock Option Committee. This determination was obtained on April 25, 2025.

2. Payment of tax liability by withholding securities.
