1. Vesting of performance shares awarded in 2022 under the Issuer's Long-term Incentive Plan (the "Plan").
2. Shares withheld for taxes upon vesting of performance shares.
3. Shares withheld for taxes upon vesting of time-based restricted stock units ("RSUs").
4. Total includes previous awards under the Plan of (i) 2,063 RSUs vesting in February 2026, (ii) 1,480 RSUs vesting in two equal installments in February 2026 and 2027, (iii) 3,426 RSUs vesting in July 2027, (iv) 3,346 RSUs vesting in October 2027 and (v) 7,514 RSUs vesting in three equal installments in February 2026, 2027, and 2028.
