Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;

Compensatory Arrangements of Certain Officers.

On December 14, 2023, Sweetgreen, Inc. (the “Company”) announced that Jim McPhail, the Company’s Chief Development Officer, will no longer be with the Company, effective December 31, 2023.

In conjunction with Mr. McPhail’s departure, Timothy Noonan has been promoted to the position of Senior Vice President, Development, effective immediately. Mr. Noonan has served in a variety of roles at the Company since joining in May 2009, most recently serving as Vice President, Operations Strategy and Restaurant Concept Design. Mr. Noonan will assume the development responsibilities previously held by Mr. McPhail, including site selection, lease administration and construction and facilities management. Mr. Noonan will continue his prior responsibilities of restaurant concept design.
