Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers Holders.

On January 16, 2024, David P. Melito, Chief Accounting Officer and Controller of Synchrony Financial (the “Company”) notified the Company of his intention to retire effective July 2, 2024. Mr. Melito has served as the Company’s Chief Accounting Officer and Controller since February 2014. The Company will be initiating a search to identify Mr. Melito’s successor.
