Regulation FD Disclosure.

On December 11, 2023, TechPrecision Corporation (the “Company”) issued a press release announcing it has received preliminary financial results for the fiscal year ended October 31, 2023 of Votaw Precision Technologies, Inc., an Iowa corporation (“Votaw”). As previously announced, the Company is party to that certain Stock Purchase Agreement, dated November 22, 2023, with Doerfer Corporation, an Iowa corporation (the “Seller”), pursuant to which the Seller has agreed to sell, and the Company has agreed to purchase all of the issued and outstanding common stock of Votaw.

A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
