Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 31, 2022, David Murakami, a director of Territorial Bancorp Inc. (the “Company”) and Territorial Savings Bank (the “Bank”), the Company’s wholly owned subsidiary, notified the Bank that he was resigning, effective immediately, due to health reasons.

The Company and the Bank are saddened to report that Mr. Murakami passed away of natural causes on August 1, 2022. Mr. Murakami served as a director of the Bank since 2006. He will be greatly missed and the Company and the Bank extend their sincere condolences to Mr. Murakami’s family.
