Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 7, 2025, the Board of Directors of Tharimmune, Inc. (the “Company”) appointed Sireesh Appajosyula as interim Chief Financial Officer for a period not to extend beyond December 31, 2025. Mr. Appajosyula’s previously disclosed employment agreement with the Company remains in effect.
