Other Events.

On March 19, 2025, The Cigna Group (“Cigna”) completed the previously announced sale of its Medicare Advantage, Cigna Supplemental Benefits, Medicare Part D and CareAllies businesses to Health Care Service Corporation. A copy of the press release issued by Cigna in connection with the closing of the sale is attached as Exhibit 99.1 to this report and incorporated herein by reference.
