Item 8.01 Other Events.
On June 20, 2024, Third Coast Bancshares, Inc. issued a press release announcing that its Board of Directors declared a quarterly cash dividend of $17.0625 per share on it 6.75% Series A Convertible Non-Cumulative Preferred Stock. The dividend is payable on July 15, 2024 to holders of record at the close of business on June 30, 2024.

language regarding forward-looking statements.
