Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 13, 2023, Robert S. Goodwin, Senior Vice President, General Merchandise Manager, notified Tilly’s, Inc. (the “Company”) of his intent to resign from his current role with the Company on January 27, 2023, to pursue another opportunity. There are no compensatory agreements relating to Mr. Goodwin’s voluntary departure from the Company.
