Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 1, 2025, Scott D. Deverell notified Transcat, Inc. (the “Company”) of his intention to retire from his position as Corporate Controller and Principal Accounting Officer of the Company. Mr. Deverell intends to remain with the Company at least through October 1, 2025 to facilitate an orderly transition.
