Item 8.01 Other Events.
In June 2023, a shareholder filed a putative securities class action complaint against TriplePoint Venture Growth BDC Corp. (the “Company”) and certain of its directors and officers (collectively, the “Defendants”). Case No. 3:23-cv-02980 (N.D. Cal.). The complaint alleged violations of federal securities laws during a class period between March 4, 2020 and May 1, 2023. As relief, the plaintiff sought, among other things, unspecified damages and fees and costs. The Court appointed a lead plaintiff in September 2023, and an amended complaint was filed on December 5, 2023. Defendants filed a motion to dismiss on January 10, 2024, and the Court held a hearing on the motion on February 20, 2024. On August 7, 2024, the Court determined that the plaintiff had failed to state a valid claim and granted Defendants’ motion to dismiss without leave to amend.
