    Item 2.02.Results of Operations and Financial Condition
    On October 15, 2025, Triumph Financial, Inc. (the “Company”) announced its financial results for the quarter ended September 30, 2025 in its letter to shareholders attached hereto as Exhibit 99.1. Exhibit 99.1 includes certain non-GAAP financial measures. A reconciliation of those measures to the most directly comparable GAAP measures is included as a table in the letter to shareholders. The information in this Item 2.02, including Exhibit 99.1, shall be considered furnished for purposes of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and shall not be deemed “filed” for any purpose.
    Item 7.01.Regulation FD Disclosure
    Share Repurchase Authorization
    On October 15, 2025, the board of directors of the Company authorized a share repurchase program whereby the Company may repurchase up to $30 million of its outstanding common stock, par value $0.01 per share (“Common Stock”). The Company may repurchase shares of Common Stock from time to time in open market transactions or through privately negotiated transactions at the Company’s discretion. The amount, timing, and nature of any share repurchases will be based on a variety of factors, including the trading price of the Company’s Common Stock, applicable securities laws restrictions, regulatory limitations, as well as market and economic factors. The repurchase program is authorized for a period of up to one year and does not require the Company to repurchase any specific number of shares. At the Company’s discretion, the repurchase program may be modified, suspended or discontinued at any time.
