Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 29, 2021, Philip G.J. McKoy informed TrueCar, Inc. (the “Company”) of his resignation from the Board of Directors of the Company, effective on January 1, 2022. Mr. McKoy’s resignation was not due to any disagreement with the Company.
