Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 10, 2025 Tucows Inc., a Pennsylvania corporation (the “Company”), announced that at the Company’s 2025 Annual General Meeting on May 20, 2025, new Board of Director nominees Dr. Sandra Matz, Laurenz Malte Nienaber, Allen Taylor, Jeffrey Tory and Stephan Uhrenbacher will be standing for election to the Company’s Board of Directors, alongside current Directors Marlene Carl, Lee Matheson and Elliot Noss. Robin Chase, Erez Gissin, Allen Karp, Jeffrey Schwartz and Gigi Sohn have decided to not seek reelection. A copy of such press release is furnished herewith as Exhibit 99.1.
