Explanation of Responses:

1. This Form 4 is being filed late due to an administrative error.

2. Represents restricted stock units granted to Mr. Tutewohl pursuant to the Evolent Health, Inc. 2015 Omnibus Incentive Compensation Plan. On July 31, 2023, Mr. Tutewohl's last day of employment with the company, 3,000 of these RSUs vested and the remaining 6,000 were forfeited, in accordance with the terms of Mr. Tutewohl's severance and change in control agreement. Mr. Tutewohl ceased to be an officer of the company on July 3, 2023.

3. Includes restricted stock units granted under awards reported on Table 1 of Form 4s previously filed with the Securities and Exchange Commission.
