Item 5.02. Departure of Directors or Certain Officers, Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 8, 2025, Shaheen Wirk resigned as a member of the Board of Directors (the “Board”) of Tvardi Therapeutics, Inc. (the “Company”). Dr. Wirk’s decision to resign from the Board was not the result of any disagreement with the Company. Dr. Wirk has served as a valued member of the Board since March 2024 and previously served as a special advisor to the Company and the Board. The Company and the Board extend their gratitude to Dr. Wirk for his many contributions to the Company.
