1. Disposed of pursuant to the Agreement and Plan of Merger, dated as of August 6, 2023, by and among the Issuer, Fiesta Holdings, LLC, a Delaware limited liability company ("Parent"), and Fiesta Merger Sub, LLC, a Delaware limited liability company and a wholly owned subsidiary of Parent, in exchange for cash consideration of $8.50 per share of common stock of the Issuer on the effective date of the merger.
