Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 20, 2024, Ms. Elisabeth A. Eden announced her intention to retire as Senior Vice President and Chief Financial Officer of TXNM Energy, Inc., a New Mexico corporation (“TXNM”), effective as of a date that is mutually agreeable between Ms. Eden and TXNM after a suitable successor is identified, currently anticipated to be no sooner than March 15, 2025 (the “Effective Date”). Ms. Eden will continue to serve in her role through the Effective Date.
