Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 12, 2021, Lisa A. Hook, a member of the Board of Directors (the “Board”) of Unisys Corporation (the “Company”), informed the Company that if she is reelected to the Board at the Company’s upcoming 2021 Annual Meeting of Stockholders to be held on April 23, 2021, she intends to resign from the Board by December 31, 2021. Ms. Hook may resign earlier if the Company adds a new director to the Board before December 31, 2021. Ms. Hook’s intention to resign is not the result of any disagreement with the Company relating to its operations, policies or practices. The Company has begun a search for a replacement for Ms. Hook. Ms. Hook also said that she intends to step down from the Company’s Audit and Finance Committee following the stockholders meeting.
