On December 12, 2024, in connection with a periodic review of the bylaws of United Airlines Holdings, Inc. (the “Company”), the board of directors (the “Board”) of the Company adopted amended and restated bylaws of the Company (the bylaws, as so amended and restated, the “Amended and Restated Bylaws”), effective immediately. Among other things, the Amended and Restated Bylaws: (i) align the Company’s bylaws with developments in Delaware law and current practice, (ii) revise procedural mechanics and disclosure requirements applicable to stockholder nominations of directors, submissions of proposals regarding other business at stockholder meetings, and general director eligibility, and (iii) make certain other ministerial, technical and conforming changes.
