(NASDAQ:UPXI) ("Upexi" or the "Company"), a leading Solana-focused digital asset treasury company and consumer brands owner, announced that it has entered into a securities purchase agreement with an existing accredited investor for the purchase and sale of 12,242,300 shares of common stock (or pre-funded warrants in lieu thereof) at a price of approximately $1.60 per share in the form of the reduction of existing debt in the approximate amount of $19.5 million, before deducting legal and other offering fees. There was no placement agent used in connection with the offering.
