Item 2.02 Results of Operations and Financial Condition.

On May 5, 2025, Upwork Inc., or the Company, will hold a conference call regarding its financial results for the quarter ended March 31, 2025. The Company issued a press release announcing its financial results for the quarter ended March 31, 2025. The full text of the press release is attached as Exhibit 99.1 to this report.
