Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(a) Resignation of a Director

On March 5, 2024, Kimberly White notified Vacasa, Inc. (the “Company”) of her decision to resign from the Board of Directors of the Company (the “Board”), effective March 5, 2024. Ms. White has served on the Board since May 23, 2023. Pursuant to that certain Director Designation Agreement, dated June 7, 2023, by and among Mossytree Inc. and its affiliates (“EB Stockholders”) and the Company, Ms. White is required to tender her resignation to the Board in the event EB Stockholders’ beneficial ownership of the Company drops below 10% of the Company’s total number of issued and outstanding shares, which occurred on February 15, 2024. Ms. White’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
