Item 8.01. Other Events.
On April 24, 2024, Vail Resorts, Inc. (the “Company”) announced the pricing of its previously announced senior notes offering. The Company priced $600 million aggregate principal amount of 6.500% senior notes due 2032 at par (the “Notes”). The Notes offering is expected to close on May 8, 2024, subject to customary closing conditions.
The Notes will be unsecured senior obligations of the Company and will be guaranteed by certain of the Company’s domestic subsidiaries (other than certain excluded subsidiaries). The Company intends to use the net proceeds from the proposed Notes offering to fund the redemption of all $600 million of its outstanding 6.250% notes due 2025 at a redemption price equal to 100% of their principal amount and all related fees and expenses. This Current Report on Form 8-K does not constitute a notice of redemption with respect to the Company's outstanding 6.250% senior notes due 2025.
A copy of the press release issued in connection therewith is attached hereto as Exhibit 99.1. The Notes and the related subsidiary guarantees were offered in the United States to persons reasonably believed to be qualified institutional buyers in an offering exempt from registration pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to persons outside of the United States in compliance with Regulation S under the Securities Act.
