Explanation of Responses:

1. Shares withheld to pay taxes applicable to the vesting of restricted stock units.

2. In connection with the transactions contemplated by the Agreement and Plan of Merger, dated as of October 15, 2023, by and among the Issuer, CSG Elevate II Inc. and the other parties thereto, the Management Development and Compensation Committee of the Board of Directors of the Issuer accelerated the vesting of certain RSU awards in connection with tax-planning actions to mitigate adverse tax consequences of Sections 280G and 4999 of the Internal Revenue Code of 1986, as amended.

3. Includes restricted stock units subject to certain vesting periods and other restrictions under the Issuer's 2020 Stock Incentive Plan.
