Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 19, 2023, Vaughn Himes, Ph.D. was appointed to the Board of Directors (the “Board”) of VBI Vaccines Inc. (the “Company”), effective as of April 24, 2023, to serve for a term expiring at the next annual meeting of shareholders or until his successor is duly elected and qualified.

There is no family relationship between Dr. Himes and any director or executive officer of the Company. There are no transactions between Dr Himes and the Company that would be required to be reported under Item 404(a) of Regulation S-K of the Securities Exchange Act of 1934, as amended.

On April 25, 2023, the Company issued a press release announcing the appointment of Dr. Himes to the Board. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.
