Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On June 2, 2023, Ellen Pawlikowski notified Velo3D, Inc. (the “Company”) of her intention to resign from the Board of Directors (the “Board”) of the Company in July 2023. Gen. Pawlikowski’s decision is for personal reasons and not as a result of any disagreements with the Company or the Board.
