On February 17, 2023, Mr. James Recer, Senior Executive Vice President and Chief Banking Officer of Veritex Holdings, Inc. (“Veritex” or the “Company”), notified the Company of his resignation. Mr. Recer's resignation was not based on any disagreement with the Company on any matter relating to the registrant's operations, policies or practices.

“Jim has contributed significantly to the Bank’s success since he joined us in 2020. We are grateful for his service, commitment, his professional acumen and expertise to further grow our franchise,” said C. Malcolm Holland, III, Chief Executive Officer and President of the Company.
