Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 4, 2022, Nayaki R. Nayyar, a member of the Board of Directors of Veritone, Inc. (the “Company”) and a member of the Compensation Committee thereof, notified the Company of her intention to resign from the Company's Board of Directors, effective as of December 31, 2022. Ms. Nayyar has indicated to the Company that her decision is as a result of her other commitments, including as Chief Executive Officer of Securonix, and not as a result of any disagreement with the Company on any matter relating to its operations, policies or practices.
