Item 8.01 Other Events

On March 6, 2026, Vertiv Holdings Co, a Delaware corporation (the “Company”), issued a press release announcing that its Board of Directors has declared a quarterly cash dividend of $0.0625 per share of Class A common stock. The dividend is payable to the Company’s stockholders of record as of the close of business on March 17, 2026, and is expected to be paid on March 26, 2026. A copy of the press release is attached to this report on Exhibit 99.1.
