Item 7.01 Regulation FD Disclosure
On November 14, 2025, Vertiv Holdings Co, a Delaware corporation (the “Company”), issued a press release announcing that its Board of Directors has raised its regular annual dividend from $0.15 to $0.25 per share, to be declared and paid quarterly. The increase will be effective starting with the fourth-quarter dividend of $0.0625 per share of Class A common stock, which was declared November 13, 2025 by the Board of Directors, and is payable on December 18, 2025, to shareholders of record of Class A common stock at the close of business on November 25, 2025. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference in its entirety.
