Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of OPKO common stock upon the vesting of the award. The restricted stock units vest 50% on the second anniversary of the grant date, then 25% on each of the following two years.

2. Shares held by the ZERHOUNI IRREVOCABLE TRUST for the benefit of the Reporting Person and his children and remoter issue, as well as certain qualifying charitable organizations, and for which an independent trustee has been appointed. The independent trustee has delegated investment authority of the trust to the Reporting Person. The Reporting Person disclaims beneficial ownership of these securities, except to the extent of any pecuniary interest therein and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.

3. Shares held by the EAZ ZERAZ TRUST for the benefit of the Reporting Person's spouse and children and remoter issue, as well as certain qualifying charitable organizations, and for which an independent trustee has been appointed. The Reporting Person disclaims beneficial ownership of these securities, except to the extent of any pecuniary interest therein and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
