Item 8.01 Other Events

As previously announced, on September 10, 2025, Vimeo, Inc. (“Vimeo” or the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among Bending Spoons US Inc. (“Bending Spoons US”), Bending Spoons S.p.A. (solely for purposes of the sections specified therein) (“Bending Spoons S.p.A.”), and Bloomberg Merger Sub Inc., a wholly owned subsidiary of Bending Spoons US (“Merger Sub”), pursuant to which, subject to the terms and conditions set forth therein, Merger Sub will merge with and into Vimeo (the “Merger”), with Vimeo surviving such Merger as a wholly owned subsidiary of Bending Spoons US.

The completion of the Merger is conditioned upon, among other things, the expiration of the waiting period applicable to the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Waiting Period”). The HSR Waiting Period expired at 11:59 p.m. EST on November 6, 2025.

The completion of the Merger remains subject to other closing conditions, including Vimeo stockholder approval of the Merger Agreement.
