Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 12, 2022, Rosalind Redfern Grover notified the Board of Directors (the “Board”) of Viper Energy Partners GP LLC, the general partner of Viper Energy Partners LP (“Viper”), that she intends to retire from the Board and its audit committee effective as of December 31, 2022. Ms. Grover’s pending retirement is not because of a disagreement on any matter relating to Viper’s operations, policies or practices.

On December 15, 2022, Viper issued a press release announcing the retirement of Ms. Grover effective as of December 31, 2022. The press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.02.
