Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 27, 2025, Susan S. Fleming notified Virtus Investment Partners, Inc. (the “Company”) and Timothy A. Holt, Chairman of the Company’s Board of Directors (the “Board”), of her decision to retire as a director of the Board at the end of her current term in May 2026 and not stand for re-election to the Board at the Company’s 2026 Annual Meeting of Shareholders. Dr. Fleming‘s announcement follows a long and meaningful tenure as a director of the Company since it became an independent public company on January 1, 2009. Dr. Fleming is Chairperson of the Company’s Governance Committee and a member of its Audit Committee, and she will continue to serve as a member of the Board until the end of her term.
