Item 7.01 – Regulation FD Disclosure.

On September 7, 2023, Vishay Intertechnology, Inc. (the “Company”) issued a press release announcing the pricing of its offering of $650 million aggregate principal amount of 2.25% convertible senior notes due in 2030 pursuant to Rule 144A under the Securities Act of 1933, as amended. In addition, the Company granted the initial purchasers of the notes an option to purchase up to an additional $100 million aggregate principal amount of the notes for settlement within a 13-day period beginning on, and including, the first day on which the notes are issued. A copy of this press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
