Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(d) Election of Directors

The Board of Directors (the "Board") of Voya Financial, Inc. (the "Company") appointed William J. Mullaney as a director of the Company, effective as of July 5, 2024. Mr. Mullaney's appointment will increase to twelve the number of directors of the Company. Also effective as of July 5, 2024, Mr. Mullaney has been appointed to the Audit Committee, the Technology, Innovation and Operations Committee, and the Nominating, Governance and Social Responsibility Committee. The Board has affirmatively determined that Mr. Mullaney will be an independent director under the corporate governance standards of the New York Stock Exchange.

Mr. Mullaney will receive compensation as a non-employee director as described beginning on page 72 of the Company's proxy statement filed with the Securities and Exchange Commission on April 11, 2024.

There are no related person transactions involving Mr. Mullaney that would require disclosure pursuant to Item 404(a) of Regulation S-K.
