2. Each restricted stock unit represents the right to receive one share of the Registrant's common stock.

3. Forfeiture restrictions will lapse for 985 restricted stock units on May 24, 2026 and 987 restricted stock units on May 24, 2027. Earlier potential lapse of forfeiture events set forth in the Company's severance plans applies to this award.
