1. This transaction represents a pro-rata in-kind distribution by WC Special Situations Fund, LLC ("WC Special Situations") to its members for no consideration.

Remarks:

WC Special Situations held the shares of Class A Common Stock that were reported herein. WestCap Management, LLC ("WestCap") is the managing member of WC Special Situations. Laurence A. Tosi may have been deemed to hold voting and investment control over the shares held by WC Special Situations. Neither WestCap nor Laurence A. Tosi had any pecuniary interest in the shares that were held by WC Special Situations. WestCap and Laurence A. Tosi are separately filing reports under Section 16 of the Securities Exchange Act of 1934, as amended.
