Item 8.01. Other Events.
Pursuant to the Order Granting Motion For Preliminary Approval of Derivative Settlement issued by the Superior Court of California, County of San Francisco, dated April 23, 2025, Wells Fargo & Company (the “Company”) is hereby providing the Notice of Proposed Settlement of Shareholder Derivative Action and Hearing (the “Notice”) as Exhibit 99.1 to this report, and the Stipulation and Agreement of Compromise, Settlement, and Release (the “Stipulation”) as Exhibit 99.2 to this report. The Notice and the Stipulation relate to the proposed settlement of a shareholder derivative action alleging inadequate oversight of the Company’s efforts to comply with various regulatory consent orders.
