Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 11, 2025, the Compensation Committee of the Board of Directors of Westlake Corporation (the “Company”) approved a special award of restricted stock units (“RSUs”) to Mr. Robert F. Buesinger, Executive Vice President, Performance and Essential Materials Segment Head of the Company (formerly the Company’s Executive Vice President, Housing and Infrastructure Products, IT and Digital), under the Company’s amended and restated 2013 Omnibus Incentive Plan with a total aggregate grant date fair value of $1,500,000. The number of shares of common stock of the Company underlying the RSUs will be determined by dividing the aggregate grant date fair value by the average of the high and low prices of the Company’s common stock on April 11, 2025. The RSUs fully vest on December 31, 2026, provided that Mr. Buesinger remains in continuous full-time employment with the Company through December 31, 2026.
