1. Represents restricted stock units ("RSUs") which will vest in three equal annual installments on December 31, 2024, December 31, 2025 and December 31, 2026. Each RSU represents the right to receive one share of the Issuer's common stock.

2. The transaction reported reflects the withholding of RSUs in satisfaction of the Reporting Person's tax liability.
