Item 1.01.			Entry into a Material Definitive Agreement.

On October 28, 2021, the Board of Directors (the "Board") of Wintrust Financial Corporation (the “Company”) authorized the repurchase of up to $200 million of the Company's outstanding shares of common stock. This authorization is incremental to the remaining authorization of approximately $23 million under the previous program, which the Board approved in the fourth quarter of 2019. A copy of the press release relating to such authorization is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
