    Item 2.02Results of Operations and Financial Condition.

    On April 30, 2025, Wolfspeed, Inc. (the “Company”) issued a press release reaffirming its previously announced financial guidance for the third quarter of the Company’s fiscal 2025. The press release is attached as Exhibit 99.1 and incorporated into this Item 2.02 by reference.

    The information in this Item 2.02 shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liability of that Section.     Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

    Departure of Neill P. Reynolds

    Following discussions that commenced April 26, 2025, the Company and its Executive Vice President and Chief Financial Officer, Neill P. Reynolds, have agreed that he will be departing the Company effective May 30, 2025. Upon execution of a separation agreement, Mr. Reynolds will receive a one-time cash payment equal to the approximate value of twelve (12) months of Mr. Reynolds’ regular salary and an annual bonus at target, as well as an additional twelve (12) months of vesting of his unvested restricted stock units. Mr. Reynolds also will be entitled to twelve (12) months of the employer portion of COBRA continuation payments.

    The Company onboards its new Chief Executive Officer, Robert Feurle, on May 1, 2025. Mr. Reynolds is dedicated to continuing management’s efforts to strengthen the Company’s balance sheet until his departure.
