Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At its regularly scheduled meeting on May 2, 2022, the Board of Directors of The York Water Company (the “Board”) appointed a new director to the Board effective June 1, 2022. Mr. Paul R. Bonney, Esq., who is currently a consultant to the energy industry, as well as an adjunct professor of business strategy, energy, and sustainability at Clemson University and who previously served as the Senior Vice President of Legal and Regulatory Strategy of Pepco Holdings and Senior Vice President and General Counsel of Constellation, was appointed to a class of directors with terms expiring at the 2025 Annual Meeting of Shareholders. Mr. Bonney will also be assigned to the Board’s Compensation Committee.
