1. Represents a grant, approved by the issuer's Board of Directors, of restricted stock to the reporting person, as compensation for services rendered.

2. Represents shares owned by Sam Lai, Ms. Yu's spouse. Mr. Lai is the issuer's Chief Executive Officer and a member of the issuer's Board of Directors. Together, Ms. Yu and Mr. Lai beneficially own 33,325,984 shares of the issuer's common stock, with each of Mr. Lai and Ms. Yu beneficially holding 33,325,984 shares of the issuer's common stock, as each of them is deemed to indirectly beneficially own the other's 16,662,992 shares.
