1. The price reported is the weighted average of the shares sold. The shares sold at varying prices in the range of $61.60 to $61.78. The reporting person undertakes, upon request by the Staff of the Securities and Exchange Commission, or a security holder of the issuer, to provide full information regarding the number of shares sold at each separate price.

2. The reported securities are held in a brokerage account in the name of the reporting person's adult son. The reporting person disclaims beneficial ownership of such securities.

3. The reporting person disclaims benefical ownership of such securites except to the extent of his pecuniary interest therein.

4. The option is a "time-based" option that vested in full on the date of the grant, on June 20, 2014.
