Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 11, 2022, Ryan Craig, a Class III director of Zovio Inc (the “Company”) who has served as a director of the Company since November 2003, resigned from the Company’s Board of Directors (the “Board”). Mr. Craig has indicated that his departure from the Board was not the result of any disagreement with management or the Board.

The Board intends to reduce the size of the Board to nine members in accordance with the provisions of the Company’s bylaws.
